Platform: Opia operates the online freelance platform accessible at opiafreelancers.com, connecting freelancers and clients worldwide.

These Terms and Conditions ('AGBs') govern the use of Opia’s services. By registering or using the platform, users agree to be bound by these terms.

2. Scope and Eligibility

Services: Opia provides a platform for freelancers to offer services and for clients to hire talent, including features like AI certification, blockchain payments, and zero-to-low fees for disadvantaged freelancers.

Eligibility: Users must be at least 18 years old and capable of entering into a legally binding agreement. Freelancers from oppressed regions (e.g., Palestine) are encouraged to join, subject to verification.

3. Registration and Account

Process: Users must register via opiafreelancers.com/signup with a valid email and password, managed through Firebase Authentication.

Accuracy: Users must provide accurate information (e.g., name, location) and update it as needed.

Security: Users are responsible for maintaining account confidentiality. Opia reserves the right to suspend accounts for suspicious activity.

Termination: Opia may terminate accounts for breaches of these terms, with notice via email to info@opiafreelancers.com.

4. Freelancer Services

Offering Services: Freelancers set rates and availability, subject to AI verification (e.g., skill tests) and Opia’s approval.

Fees: Opia charges 0–3% fees for freelancers from oppressed regions and 5% for clients, transparent via blockchain records.

Payment: Payments are processed instantly via blockchain (e.g., Ethereum smart contracts) or supported methods (e.g., PayPal), with freelancers retaining 97–100% of earnings.

Liability: Freelancers are solely responsible for the quality and delivery of services.

5. Client Responsibilities

Hiring: Clients post jobs via opiafreelancers.com/jobs, agreeing to Opia’s 5% fee, payable upon project completion.

Fair Hiring: Clients must comply with Opia’s anti-discrimination AI filter, avoiding exclusionary terms (e.g., by region).

Disputes: Clients and freelancers resolve disputes directly, with Opia mediating only upon request.

6. Intellectual Property

Ownership: Freelancers retain ownership of deliverables unless otherwise agreed with clients in writing.

Platform Content: All Opia content (e.g., design, code) is protected by copyright, owned by Opia.

7. Data Protection

GDPR Compliance: Opia processes personal data (e.g., name, email) per the General Data Protection Regulation (GDPR).

Purpose: Data is used for account management, service delivery, and marketing, with consent required via checkbox during signup.

Rights: Users can request access, correction, or deletion of data by emailing info@opiafreelancers.com.

Storage: Data is stored securely via Firebase Firestore, with a retention period of 5 years post-account closure.

8. OpiaImpact Fund

Purpose: 1% of client fees supports micro-grants for freelancers in crisis (e.g., equipment for Palestinian freelancers).

Participation: Clients can opt-in to donate more; freelancers apply via opiafreelancers.com/impact.

Transparency: Grant allocations are tracked on the blockchain, viewable by all users.

9. Liability and Indemnification

Limitation: Opia is not liable for disputes between users, service quality, or third-party actions, except in cases of gross negligence.

Indemnity: Users agree to indemnify Opia against claims arising from their use of the platform.

10. Termination and Suspension

User Rights: Users may deactivate accounts via the dashboard, with data deletion requested separately.

Opia Rights: Opia may suspend or terminate access for violations (e.g., fraud), with 7 days’ notice unless immediate action is required.

Consequences: Terminated users lose access to OpiaPoints and ongoing contracts.

11. Amendments

Changes: Opia may update these AGBs, notifying users via email or opiafreelancers.com at least 30 days in advance.

Acceptance: Continued use after updates constitutes acceptance.

12. Governing Law and Jurisdiction

Law: These terms are governed by German law.

Jurisdiction: Disputes will be resolved in the courts of Düsseldorf, Germany.

13. Miscellaneous

Severability: If any provision is invalid, the remaining terms remain enforceable.

Entire Agreement: These AGBs, along with the Privacy Policy, constitute the full agreement between Opia and users.
